The Site provides general information about AG, its areas of work and ways to contact the company. Site content is not engineering, manufacturing, quality, procurement, legal, export-control or other professional advice. It is not a specification, inspection record, certificate, warranty, offer or commitment to manufacture.

Capabilities, equipment, materials, processes, tolerances, lead times, registrations and certifications must be confirmed for the specific project through current written records and an authorized AG representative. Site information may be incomplete, illustrative or changed without notice.

You may use the Site only for lawful business and informational purposes. You must not:

• Violate any applicable law, regulation, sanction, export-control restriction or third-party right.
• Attempt to gain unauthorized access to accounts, servers, forms, files, databases or networks.
• Introduce malware, malicious code, automated attacks or content designed to disrupt the Site.
• Scrape, crawl, harvest or systematically extract Site content or personal information without written permission, except as allowed by law.

A request for quote, contact form, uploaded file, email or other submission is a request for evaluation only. It does not obligate AG to review, quote, accept, manufacture, reserve capacity, meet a delivery date or enter into a business relationship.

No contract is created unless authorized representatives agree to applicable terms in a written or electronically executed document. A quotation may contain additional terms, exclusions, assumptions, expiration dates and order requirements that control over these website Terms for that transaction.

You retain ownership of content you submit. You grant AG and its authorized personnel, service providers and professional advisers a limited, nonexclusive right to receive, host, copy, review and use that content only as reasonably necessary to evaluate the request, communicate with you, protect systems, comply with law and administer a resulting business relationship.

You represent that you have the authority and all rights necessary to submit the information; that it is accurate to the best of your knowledge; and that its submission does not violate intellectual-property, privacy, confidentiality, contractual or export-control obligations.

The Site and its original text, layout, graphics, interfaces, code, photographs, illustrations, video, audio, logos, trademarks and other content are owned by AG, licensed to AG or used as permitted by law. They are protected by applicable copyright, trademark and other laws.

AG grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for internal, lawful business evaluation. No ownership right is transferred. You may not reproduce, republish, distribute, modify, sell, sublicense, create derivative works from or commercially exploit Site content without prior written permission, except where applicable law expressly allows it.

Copyright concerns

If you believe material on the Site infringes your copyright, send a written notice containing identification of the copyrighted work, the challenged material and its location, your contact details, a good-faith statement, an accuracy and authority statement under penalty of perjury, and your physical or electronic signature to:

The Site may link to or use third-party hosting, CRM, forms, analytics, maps, social networks, file-transfer or other services. Your use of a third-party service may be governed by separate terms and privacy notices. To the maximum extent permitted by law, AG is not responsible for third-party websites, systems, security, availability, content or acts outside AG’s reasonable control.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AG and its owners, officers, employees, contractors, designers, developers and service providers disclaim warranties concerning the Site, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability and security.

We do not warrant that the Site will be uninterrupted, error-free, free from harmful components or suitable for a particular project; that content will always be current or complete; or that a submission will be received, reviewed or kept confidential absent a separate written agreement.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

To the maximum extent permitted by law, AG and its owners, officers, employees, agents, contractors, website designers, developers and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages; lost profits, revenue, data, opportunity or business interruption; or damages arising from reliance on Site content, inability to use the Site, unauthorized submissions, malware or third-party services.

To the maximum extent permitted by law, the aggregate liability of the foregoing parties arising from or relating solely to the Site or these Terms will not exceed [INSERT COUNSEL-APPROVED LIABILITY CAP]. This limitation does not govern liability under a separate signed manufacturing or services agreement.

You agree to defend, indemnify and hold harmless AG and its owners, officers, employees, agents, contractors and service providers from third-party claims, losses, liabilities, costs and reasonable attorneys’ fees arising from your unlawful Site use, your submissions, your breach of these Terms or your violation of another party’s rights, except to the extent caused by the indemnitee’s conduct for which indemnification cannot legally be required.

Some jurisdictions do not permit certain exclusions or limitations. In that case, the applicable provisions apply only to the maximum extent allowed by law.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and applicable federal law. Subject to any mandatory law, disputes arising solely from the Site or these Terms will be brought in the state or federal courts located in Orange County, California, and each party consents to their personal jurisdiction and venue.

Before filing a claim, you and AG agree to attempt in good faith to resolve the dispute through written notice and informal discussion for [INSERT COUNSEL-APPROVED NOTICE PERIOD], unless immediate injunctive relief is reasonably necessary or the claim is subject to a shorter mandatory deadline.

If any provision is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. You may not assign these Terms without AG’s written consent; AG may assign them in connection with a merger, reorganization, sale of assets or similar transaction.

We may update these Terms by posting the revised version and changing the “Last Updated” date. Changes apply prospectively when posted unless a later date is stated. Continued Site use after the effective date constitutes acceptance where permitted by law.

These Terms and the Privacy Policy are the entire agreement concerning general Site use. They do not replace project-specific quotations, nondisclosure agreements, purchase orders accepted by AG or other signed agreements. Headings are for convenience only. Sections intended by their nature to survive termination will survive.
